By purchasing, installing, copying, or otherwise using the MIC LOCKER ("Product"), you agree to

be bound by the following terms of this End User License Agreement:

Gauge Precision Instruments, Inc. ("GPI"), under license with Final Mix Software, Inc. (“FMS”)

hereby grants you a license to install and use the Product on your computer running a validly

licensed copy for the purpose of creating musical works and performances.

This license conveys no titles, copyrights, trademarks or any other intellectual property in

connection with any text, images, code, and other materials comprising this Product. You may

not reproduce or distribute copies of this Product to third parties or make this product available

to the public.

FMS and GPI shall not be responsible for any loss or damage, however caused, that results from

the provision or use of this or any FMS or GPI product or other products or services.

In the event any one or more of the clauses in this User License Agreement is deemed to be

invalid for any reason, the remaining clauses will remain in full effect and this User License

Agreement will not be voided. You have no right to assign this User License Agreement.

This User License Agreement shall be governed in accordance with the laws of the United States

of America and the State of California and you consent to the jurisdiction of the State courts and

U.S. Federal courts in the County of Los Angeles, California to adjudicate any dispute arising out

of this User License Agreement.
